1. Acceptance of Terms

By accessing or using Dick.com (the "Platform"), creating a channel, streaming content, viewing content, or making any payment through the Platform, you ("User," "Creator," or "Viewer") agree to be bound by these Terms of Service ("Terms") in their entirety. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

These Terms constitute a legally binding agreement between you and Dick.com ("we," "us," or "the Platform"). We reserve the right to modify these Terms at any time. Continued use of the Platform following any modification constitutes your acceptance of the revised Terms.

BY CREATING AN ACCOUNT OR USING THIS PLATFORM, YOU EXPLICITLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE INDEMNIFICATION AND LIMITATION OF LIABILITY PROVISIONS SET FORTH HEREIN.

2. Platform Description

Dick.com is a live streaming infrastructure platform that enables content creators ("Creators") to broadcast live video content and receive direct payments from viewers ("Viewers") via the x402 payment protocol using USDC stablecoin on the Base blockchain network. Dick.com functions solely as infrastructure and technology provider. We do not produce, curate, endorse, monitor, or control the content streamed by Creators.

3. Eligibility

You must be at least 18 years of age to use this Platform in any capacity — as a Creator, Viewer, or otherwise. By using the Platform, you represent and warrant that:

  • You are at least 18 years of age;
  • You have the legal capacity to enter into a binding agreement;
  • Your use of the Platform does not violate any applicable law or regulation in your jurisdiction;
  • You are not located in a jurisdiction where the use of cryptocurrency payments is prohibited;
  • All information you provide to us is accurate, current, and complete.

4. Creator Accounts and Responsibilities

Creators are solely and exclusively responsible for all content they stream on the Platform. By creating an account, Creators agree to the following:

4.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password and stream key. You are fully responsible for all activity that occurs under your account. You must immediately notify us of any unauthorized use of your account at support@dick.com.

4.2 One Account Per Email

Each email address may only be associated with one Creator account and one channel. Channel names are permanent and cannot be changed after creation. If you wish to use a different channel name, you must delete your existing channel and create a new account with a different channel name.

4.3 Content Standards and Prohibited Content

Creators are strictly prohibited from streaming any of the following content. Violation of these prohibitions may result in immediate account termination and may subject you to civil and criminal liability:

  • Copyrighted Content: Any content for which you do not own the rights or do not have explicit written permission from the rights holder, including but not limited to: commercially released music, films, television programs, sports broadcasts, video game footage beyond fair use, and any other copyrighted audiovisual works;
  • Illegal Content: Any content that violates federal, state, or local law, or the laws of any applicable jurisdiction;
  • Child Exploitation Material: Any content that sexually exploits, depicts, or endangers minors in any way. Such content will be immediately reported to the National Center for Missing and Exploited Children (NCMEC) and relevant law enforcement;
  • Non-Consensual Content: Any content depicting real persons in a sexual manner without their explicit consent;
  • Harassment and Threats: Content that harasses, threatens, or incites violence against any individual or group;
  • Hate Speech: Content that promotes, glorifies, or incites hatred or discrimination based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristics;
  • Terrorism and Extremism: Content that promotes, glorifies, or facilitates terrorism, violent extremism, or mass violence;
  • Fraud and Deception: Content designed to deceive Viewers, solicit fraudulent payments, or misrepresent the nature of the stream;
  • Malware and Harmful Code: Content that distributes or facilitates the distribution of malware, spyware, or other harmful software;
  • Privacy Violations: Content that discloses private information about individuals without their consent, including personal addresses, financial information, or other sensitive data.

4.4 DMCA Compliance

Dick.com complies with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been streamed without authorization, please send a written DMCA takedown notice to support@dick.com. Dick.com reserves the right to terminate accounts of repeat infringers.

5. Payments and Financial Terms

5.1 Direct Peer-to-Peer Payments

All payments on Dick.com are made directly from Viewer wallets to Creator wallets via the x402 protocol on the Base blockchain. Dick.com is not a party to these transactions and does not hold, process, custody, or control any funds at any time. Dick.com charges zero platform fees.

5.2 Payment Finality

All payments made through the Platform are final and non-refundable. Because payments are settled directly on the blockchain, they cannot be reversed or recalled by Dick.com under any circumstances. Viewers who experience issues with a stream should contact the Creator directly.

5.3 Creator Payment Responsibility

Creators are solely responsible for providing accurate wallet addresses for receiving payments. Dick.com is not responsible for payments sent to incorrect wallet addresses. Creators are solely responsible for all tax obligations arising from payments received through the Platform.

5.4 Cryptocurrency Risk

Use of cryptocurrency involves significant risks including price volatility, regulatory uncertainty, and technological risk. You acknowledge and accept all such risks. Dick.com is not responsible for any losses arising from your use of cryptocurrency.

6. Indemnification

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS DICK.COM AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, JUDGMENTS, AWARDS, LOSSES, COSTS, EXPENSES, AND FEES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF OR RELATING TO:

  • Your violation of these Terms;
  • Any content you stream, upload, transmit, or otherwise make available through the Platform;
  • Your violation of any third-party rights, including without limitation any copyright, trademark, trade secret, or privacy right;
  • Your violation of any applicable law, rule, or regulation, including any applicable streaming, broadcasting, or intellectual property laws;
  • Any claim that your streamed content caused damage to a third party;
  • Any payment disputes between you and other users of the Platform;
  • Your use or misuse of the Platform, including any technical issues arising from your streaming setup, internet connection, or hardware;
  • Any unauthorized access to your account resulting from your failure to maintain account security;
  • Any dispute between you and any Viewer or Creator.

This indemnification obligation will survive the termination of these Terms and your use of the Platform.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DICK.COM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF DICK.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Dick.com's total aggregate liability to you for any claims arising under or related to these Terms or your use of the Platform shall not exceed one hundred dollars ($100.00).

Specifically, Dick.com is not liable for:

  • Any technical failures, interruptions, or errors in the Platform or streaming infrastructure;
  • Any loss of stream data, recordings, or content;
  • Any payment failures or blockchain transaction errors;
  • Any loss of revenue by Creators due to technical issues, platform downtime, or any other reason;
  • Any viewer dissatisfaction with streamed content;
  • Any actions taken by third-party service providers including Cloudflare, Coinbase, or blockchain networks;
  • Any loss or theft of cryptocurrency from your wallet;
  • Any regulatory action taken against you related to your use of cryptocurrency.

8. Platform Availability and Technical Issues

Dick.com provides the Platform on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that:

  • The Platform will be uninterrupted, error-free, or secure;
  • Any defects or errors will be corrected;
  • The Platform will meet your specific requirements;
  • Any stream will be delivered without interruption or technical issues.

Technical issues may occur due to factors beyond our control including internet connectivity, third-party service failures, blockchain network congestion, or other circumstances. Dick.com is not liable for any such technical issues or their consequences.

9. Termination

Dick.com reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination:

  • Your right to use the Platform immediately ceases;
  • Your channel page will be deactivated;
  • Any funds already received in your wallet are unaffected as they are held in your own wallet, not by Dick.com;
  • Dick.com has no obligation to retain any of your account data.

You may terminate your account at any time by contacting support@dick.com.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively through binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

11. Miscellaneous

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect. These Terms constitute the entire agreement between you and Dick.com with respect to your use of the Platform. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
